1. About these terms

These terms govern your access to and use of the European Defence Exchange ("EDE", "Platform"), operated by Atlantic Edge Group LLC, a Delaware limited liability company with its principal place of business at 501 Silverside Road, Suite 105 #5426, Wilmington, Delaware 19809-1376, United States. By submitting an onboarding application or signing in to your vendor portal, you agree to these terms and to our Privacy Policy and Data Rights & Use terms.

2. Eligibility

EDE is a business-to-business platform for defence and security suppliers, buyers, and PHR member organizations. You must be authorized to act on behalf of the company you represent. We reserve the right to refuse or terminate accounts at our discretion, particularly where sanctions, dual-use, or export-control concerns arise.

Listing on EDE is currently free for founding-cohort manufacturers. Standard transaction commission applies to settled marketplace transactions (currently 5% of net invoiced amount, deducted at settlement). Pricing may change with 30 days' notice.

6. Vault and settlement

Where the Platform records settlement between buyer and seller, the parties remain the contractual counterparties for the underlying supply. EDE acts solely as a record-keeping and reconciliation facilitator: it does not hold, receive, transmit or control either party's funds, operates no escrow, collects nothing as agent, and routes no payment through any account of its own. All cash moves directly between the parties' own bank accounts. Where mutual claims exist, the parties may agree to extinguish them by bilateral set-off (potrącenie) under Articles 498 and 353(1) of the Polish Civil Code, in which case only the difference moves as cash. KSeF e-invoicing rules apply to Polish-VAT transactions. Disputes are resolved between the parties; EDE may suspend a member's access to Platform set-off functions during an investigation, but has no power to stop, reverse or withhold a payment between the parties.

7. Intellectual property

You retain ownership of content you submit. You grant EDE a worldwide, royalty-free license to display your company profile, product listings, and certifications on the Platform for the purpose of operating the marketplace.

8. Confidentiality

RFQs are confidential between the buyer and the specific vendor(s) addressed. EDE may access RFQ data for compliance, fraud prevention, and platform operations. Sanctions-screening data is confidential to EDE and our compliance processors.

10. Disclaimers and liability

The Platform is provided "as is". EDE does not warrant uninterrupted availability, vendor delivery performance, or buyer payment performance. To the maximum extent permitted by law, EDE's aggregate liability to any party arising out of or related to the Platform is limited to the greater of EUR 100 or fees paid by that party to EDE in the preceding 12 months.

11. Termination

You may close your account at any time by emailing support@eudefex.com. We may suspend or terminate your account for material breach, sanctions risk, or non-payment, with notice where practicable.

12. Governing law and disputes

These terms are governed by the law of the State of Delaware, United States. Personal-data matters are governed by the GDPR and applicable EU and member-state law. Set-off, netting and invoicing carried out through Vault are governed by the law of the Republic of Poland, which prevails for those matters.

The parties will first attempt to resolve any dispute in good faith for 30 days. Unresolved business-to-business disputes are then finally settled by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce before a single arbitrator; the seat of arbitration is Wilmington, Delaware, United States, and the language of the arbitration is English. Nothing prevents either party from seeking urgent injunctive relief, and nothing here limits any rights you have under mandatory EU or consumer-protection law, including any mandatory forum such law gives you.

13. Changes

We may update these terms. Material changes will be emailed to vendors and posted here at least 30 days before they take effect.
